For the purposes of this document the following definitions will apply:

1.1 " University ":

the University of Hertfordshire or as appropriate, its subsidiary company UH Ventures Limited;

1.2 " client ":

a person, company or organisation that engages the University to undertake short course provision having accepted the services to be provided by the University as set out either in a written proposal or in the acceptance thereof and also the University’s terms and conditions of business which are described in this document;

1.3 " delegate ":

a person who participates in a course or a training event;

1.4 "course ":

a programme of training events which has specific educational aims;

1.5 "delegate's pack ":

literature relating to a course or training event which is provided for delegates, the cost of which is included in the fee and which is therefore the property of the delegate. It may, however, contain copyright material.
( NOTE : The content and objectives of courses and training events offered by the University are described in the promotional literature or proposal.)

2 FORMATION OF CONTRACT

2.1 An application will be deemed unconfirmed until the University has received either a completed booking form which has been signed by the prospective client or other written confirmation. Clients must also comply with the terms and conditions of payment described in section 3 of this document and should note that they become liable for the full course fee at the time their application is accepted by the University.
2.2 The University’s acceptance of applications for courses or training events other than those designed to a client"s particular specification will be confirmed in writing by the University to the client on receipt of the completed booking form or other written confirmation. If the course or training event is fully subscribed, the University will so advise the applicant at the earliest opportunity.
2.3 Where a course or training event has been designed to a client"s particular specification the University will provide the client with a written quotation of costs. Arrangements for the course or training event will not proceed until the University has received from the client written acceptance of its quotation and its Terms and Conditions of Business, preferably in the form of an official purchase order.

3 PAYMENT FOR SHORT COURSES

3.1 Fees will be charged on the basis set out in the University’s written proposal.
3.2 All prices quoted by the University are exclusive of VAT. Where VAT is applicable it will be charged at the prevailing rate.

3.3 Companies and organisations

Payment may be made either at the time when an application is made by means of a University booking form or against a University invoice. In the latter case, where the University invoices a client in advance of the commencement of a course of training event, full payment must be received by the University within 30 days of the date on which the invoice was raised.

3.4 Individual clients

Full payment must accompany the booking form and must be received by the University not less than 10 working days prior to the commencement of the course or training event.

4 CONTENT AND OBJECTIVES

4.1 Courses and training events designed to a client"s specification

Where a course or training event has been designed to meet a client"s particular requirements, its content and objectives will be described in the University’s proposal.

4.2 Standard courses and training events

The content and objectives of standard courses and training events are as described in the University’s promotional literature. 4.3 In either case (4.1 or 4.2) it is the client"s responsibility to ensure that the content and objectives of the course or training event are appropriate to her or his requirements and that delegates have attained any qualifications or standard which has been specified by the University as a requirement for participants.

4.4 Quality

4.4.1 The University will provide presenters who are suitably qualified and experienced in the subject matter of the course. The University will also ensure that the course or training event is presented in a competent and professional manner and that its content is appropriate to the objectives specified (see also section 5 of this document). 4.4.2 Where appropriate, a delegate may request the University to provide a certificate of attendance.

4.5 Delegate"s pack

4.6 Other materials and equipment

4.6.1 Unless otherwise agreed with the University, all facilities, amenities, course materials and equipment are provided by the University for the use of delegates for the duration of the course or training event only , unless a special arrangement has been made with the University.
4.6.2 The University will not be liable for any goods, materials, software or equipment brought onto any University premises by a delegate. Clients and delegates must cover their own risk through first party insurance.
4.6.3 Where a special arrangement is agreed in respect of 4.6.1 or 4.6.2, the client must obtain prior written confirmation of that special arrangement from the Secretary and Registrar of the University.

4.7 Location

Unless otherwise stated by the University, all courses and training events will be held at the University of Hertfordshire.

4.8 Number of delegates

The number of places available on each course or for each training event will be defined by the University and will be appropriate to the level and content of the course.

4.9 Copyright

The University shall retain the copyright of all courseware, course materials and documents. Such materials, courseware and documents shall not be copied, given, sold, assigned or otherwise transferred, either whole or in part, to any third party without the express written consent of the University. They are given only for the personal use of the delegate.

5 GENERAL LIABILITIES

5.1 The University will endeavour to present the course or training event and course materials with reasonable care and skill in the manner expected of a professional training organisation, and to meet the requirements of the client.
5.2 Other than liability in respect of death or personal injury arising from negligence, the University will accept no responsibility for any loss or damage to clients or their property, howsoever it is caused. 5.3 The University reserves the right to change the content, timing, venue and presenters of any course or training event.

6 CANCELLATION

6.1 The University reserves the right to cancel any course, or part of a course, or training event at any time. In the event of such a cancellation, the University will endeavour to give the client reasonable notice and will refund in full any payment which it has received from the client. 6.2 Where a client has agreed to purchase a course but cannot fill all of the places, no refund will be allowed unless the fee has been renegotiated and agreed in writing by the University. 6.3 Where a course has been designed to a client"s particular specification, and the client wishes to cancel, the client will be liable for an administrative charge of 10% of the total cost or the total cost of development (whichever is greater). 6.4 Where an organisation or an individual has purchased a place on a course or training event, written notification of withdrawal must be received by the University not less than 10 working days prior to the commencement of the course or training event. In such cases, an administrative charge of 10% or £10 (whichever is greater) will be deducted from any refund. 6.5 In the case of 6.3 and 6.4, where the client has paid in advance and where less than 10 working days notice of cancellation is given by the client, there will be no entitlement to a refund.

7 SUBSTITUTION

A client may substitute one delegate for another at any time without incurring any financial penalty. However, clients are requested to inform the University when such a change is to be made.

8 UNIVERSITY REGULATIONS

8.1 Delegates will comply with the University’s rules and regulations. Information concerning the University’s rules and regulations is available on request. 8.2 Where a contract is made between the University and a client for the provision of a course to a delegate or delegates, it is the responsibility of the client to ensure that each delegate is notified of this requirement (8.1, refers) prior to the commencement of the course .
